Positions of trust

We maintain a public list that provides information on the Board of Directors’ members’ and President and CEO’s memberships in the Boards of Directors, Supervisory Boards or similar bodies of other economically or socially significant corporations or foundations, with the exception of housing companies.

List of positions of trust

In the list, we disclose information on the memberships of persons employed by the company who belong to other senior management or who make or prepare investment decisions on behalf of the company on the Boards of Directors, Supervisory Boards or similar bodies of other corporations or foundations, which are related to their tasks, with the exception of memberships in housing companies.

The maintenance of a list of positions of trust is provided for in the Act on Employment Pension Insurance Companies. The list we maintain is, however, more comprehensive than what is required by the Act.

The list we publish discloses, in addition to the information required by the Act, also the following information, with the exception of housing companies:

  • all work-related positions of trust of the members of the Board of Directors and the President and CEO, and
  • all non-work related positions of trust of the members of the Executive Group and the Chief Medical Officer in economically or socially significant corporations.

A corporation or foundation is economically significant if

  • its annual net sales exceed EUR 40,000,000 or
  • it is a listed company.

A corporation or foundation is socially significant when one of the following criteria is met:

  • it is a Finnish listed company,
  • it is a credit institution referred to in the Act on Credit Institutions,
  • it is an insurance company referred to in the Act on Employment Pension Insurance Companies or
  • it is an industry organisation with national influence.

We also participate in the activities of the Shareholders’ Nomination Committees of specific companies listed on Nasdaq Helsinki. A listed company’s General Meeting can set up a Shareholders’ Nomination Committee to prepare the election and remuneration of the Board of Directors. The Committee is comprised of the company’s largest shareholders or the members nominated by these.
