Annual General Meeting


Ultimate corporate control in Ilmarinen rests with the Annual General Meeting. Ilmarinen is a mutual company owned by its customers. Ilmarinen’s corporate clients and self-employed customers have the right to vote at the Annual General Meeting as laid down in more detail in the Articles of Association.

The Annual General Meeting is held once a year on a day specified by the Board of Directors before the end of May. In addition an Extraordinary General Meeting may be convened if the Board of Directors or Supervisory Board deems it necessary or if a general meeting must be held based on the Insurance Companies Act.

The Annual General Meeting’s agenda includes, among other things, the approval of the profit and loss account and balance sheet and discharging the members of the Supervisory Board and Board of Directors and President and CEO from personal liability. The Annual General Meeting also decides on the members of the Supervisory Board and their fees.

On 28 March, 2019 Ilmarinen’s Annual General Meeting selected KPMG Oy Ab as its accounting firm, with Juha-Pekka Mylén, APA, as its principal auditor. Ilmarinen paid its auditors a total of EUR 410,536.12 for audit services and EUR 93,093.13 for other advisory services in the course of 2018, including VAT.
